Nevada Corporation And LLC Myths

By Shawn Christopher There is much misinformation that is often spread regarding Nevada corporations and LLC’s. When deciding whether you should form a Nevada Corporation or LLC, you should understand precisely what a Nevada corporation or LLC can provide. With this in mind, you need to be aware of the myths and half-truths that are commonly (and incorrectly) taken as facts. MYTH # 1: Having a Nevada corporation will provide me with complete asset protection. TRUTH: This simply is not true. While having a Nevada corporation can provide some asset protection benefits, the extent of these benefits depends on each unique situation. (You should consult with a lawyer to find out if a Nevada corporation is right for you.) Further, it is common that the principal shareholder(s) of a corporation will have to provide a personal guaranty for many obligations of the corporation, such as leases, credit accounts, etc… As such, when a personal guaranty is given, the Nevada corporation does not provide any asset protection benefit for the obligation that is guaranteed. MYTH # 2: I can avoid taxes in my home state by having a Nevada corporation TRUTH: NO! If a Nevada corporation is conducting business in another state, and that state has a state income tax, then the corporation will have to pay that state’s income tax on the income earned in that state. Simply depositing any income into a Nevada bank account will not magically relieve you having to pay tax on the income. MYTH # 3: Bearer shares are a great way to provide privacy and bolster my asset protection. TRUTH: RUN, don’t walk, away from anyone who recommends bearer shares. The rationale for bearer shares is that since the laws of the State of Nevada do not prohibit them, then they must be allowed. It is true that bearer shares are not illegal under the laws of the State of Nevada. However, just because it may not be illegal, does not mean it is a good practice. The proponents of the bearer share strategy will say that you can use bearer shares to provide asset protection because, whenever you may have a potential claim/creditor try to attach your assets, you can simply hand the shares of the corporation over to a friend or family member to hold the shares. That person is now the owner (i.e. bearer) of the shares, and thus you can tell the creditor that you have no interest in the company or stock for the creditor to attach. This strategy also assumes that the attorney trying to collect on the debt/claim is a moron. Any remotely competent attorney will ask if you ever owned any interest or stock in the corporation, and when did you transfer your interests. To which, you will either: 1) tell the attorney of the bearer share strategy, which creates all kinds of fraudulent transfer issues, as well as possible income and/or gift tax ramifications that you do not even expect; or 2) commit perjury to avoid telling the attorney who you transferred your shares to. HINT: Any asset protection theory that relies on you committing perjury is not much of a strategy. MYTH # 4: Using a nominee director/officer is a good way to provide privacy and bolster my asset protection. TRUTH: Why would you trust a total stranger to have control over your company and assets? The use of nominee directors and officers are usually recommended by self-proclaimed business and legal experts. You will be hard pressed to find a licensed attorney who recommends this strategy. While you may derive some privacy from having a nominee officer and director, this privacy will be lost once the nominee is served a subpoena and asked to provide the contact information for the owners of the company. The nominee will then be legally required to provide this information, and your privacy is gone. Further, the use of a nominee also offers no additional asset protection. MYTH # 5: Privacy = Asset Protection. TRUTH: Just because something is slightly more difficult to find out does not mean you get any additional asset protection benefits. MYTH # 6: Nevada does not share information with the I.R.S., so I can keep my information private. TRUTH: Just because Nevada does not share information with the I.R.S. does not mean that the I.R.S. will not have any information on the company. You will need to provide the I.R.S. with the name and social security number of someone involved with the company to obtain an EIN. Further, the company will be required to prepare tax returns (informational returns for S-corps and most LLCs), on which the names and social security numbers of the owners or members will be provided. Thus, the I.R.S. will end up with this information anyway. SUMMARY: Please do not confuse the lack of an audit with being legal and proper. It is almost comical that there are numerous corporate formation companies that are dispensing legal advice when they are not attorneys. Why would anyone take advice on protecting their assets from someone who is not legally allowed or qualified to provide such advice, much less actually had to argue in support of any of their half-true positions before a judge? The truth is that a Nevada corporation or LLC may be useful to some, but it is not the end answer for every small businessperson, especially those who do not operate in Nevada. But if you plan ahead and schedule some time for this important task, you will reap the financial rewards. Before you begin make sure you have the following items on hand: checkbook, ledger book, ATM and deposit receipts, calculator and a pencil. The next step is to check your items. First, separate your returned checks and ATM withdrawal slips into two distinct piles. Then place your returned checks in numerical order and compare them to your ledger book by writing an X in the ledger beside every figure that matches a cancelled check. The next step is to put your ATM withdrawal slips in chronological order (that is, according to date) and compare them to your ledger book by placing an X beside every figure that matches an ATM withdrawal amount. You can make final changes to your ledger by comparing your deposit receipts with your bank statement. Write an X by every figure in the ledger that matches with a deposit receipt. If you notice any discrepancies after carrying out this relatively simple procedure, you must notify your bank immediately in order to rectify the situation. To calculate your balance, record you checkbook’s current balance either at the top of a piece of paper, or on the back of your statement. It is recommended you use the back of your statement if your bank provides a worksheet there for calculating your balance. You are also teaching your children or grandchildren the same lessons you are following which led you to be obese or overweight. Years ago I watched a programme on Oprah about anorexia in children. It was an amazing programme which really all adults who are on a diet should be made to watch. Why? Because it had many, many lessons to teach. One of the mothers that was on the programme had asked if she could tell her story. Her 4 year old you read that correct, her 4 year old was already an anorexic. How did it happen? The simple answer was she copied her mother. Her mother said she hadnt realised how much notice her daughter had been taking of what she had been saying and doing with food. It is interesting to see that the mother was overweight not anorexic. The mother said she would say I cant eat this or I have to avoid that food. She would say if I eat too much I will get fat. She went through the stages of anger when she jumped on the scale to find she had gained a pound. These are all the things a person dieting does and thinks. But the little girl saw it differently, if mommy cant eat that because it makes her fat then neither can I eat it. If mommy is sad because of her weight maybe she would be sad if I gained weight. If mommy thinks she is ugly because of her weight then I will be ugly if I gain weight. If people only love mommy when she is thin then they will only love me when I am thin. Now on the other side we were watching a program from Australia which is trying to get people to lose weight. They have people who are obese and look at their current diet (eating habits) and fitness and then give them different tasks to do. Recently they had a mother and son on the program. Both were obese, the son was 16. Both had to keep a food diary and it was interesting to see that both ended up with 90% of the diet coming from dairy. The father had no weight problem and didnt eat dairy very much. He also exercised whereas mother and son didnt. They didnt even take the dog for a walk which is a great way to get exercise done. If you have a dog then you have zero excuse for not doing exercise. You dog needs exercise and so do you. Get out and walk with the dog. A video diary was also made of both the mother and son and it was interesting to watch what they did. The son ate secretly and did some of the thing he had watched his mother do. Drinking the milk straight out of the container was one. When the mother was shown the video she was shocked that her son was eating and doing what she had also been doing. She thought he only ate what she gave him to eat. She had no idea he had become a secret eater. In tears the mother said she had taught her son really well. She had taught him all the bad habits she had with food. She had taught him how to eat in secret. She had taught him to eat mainly dairy and avoid fruit and vegetables. The only vegetables they ate were a lettuce a week between them and a couple of tomatoes were the only fruit. She said she had no idea he had been watching and had copied her. Indeed he had learnt his lessons well. They might not have been good lessons but they were lessons all the same. Both had medical problems related to their diet. The son (remember he was 16) had high cholesterol and the doctor told him it was likely he would have a heart attack within 5 years as he was already showing signs of heart disease. The lessons were literally killing her son. And the same is true for all overweight and obese people. Their children or grandchildren will watch and learn. You might think you are doing something in secret but the reality is that you have been found out. If you have medical problems then it is likely you will pass them onto your kids. You might say your problems are genetic, I would say it is highly unlikely. Very few medical problems related to food are genetic. What is true is if your parents had heart problems, diabetes, high cholesterol, and certain cancers which were caused through eating the wrong diet then if you are following the same diet you will of course have the same medical issues. Then you kids if they follow will also have the same issues. It isnt genetic but copying the same bad habits. What happened to this mother and son? They changed their habits and were followed for 8 weeks. They were given an eating plan which meant they didnt eat so much dairy, they ate smaller meals. They exercised. Both lost weight. The son ended with far lower cholesterol and the signs of heart disease were already reversed. He was no longer a candidate for a heart attack and that was in an 8 week period. You see most of the medical conditions related to health are reversible. Give yourself and your child the gift of life by making good choices and see many of your medical problems starting to be reverse. Lovers After Marriage - Do They Change?

By Michael Russell This is the question that many people ask themselves over and over again. The answer is always the same - NO. No, they will not change: No, things will not get better. This is not said to be mean; it’s just the reality. At the start of a relationship, most people are looking for someone they can spend their lives with so being picky is not necessarily a bad thing. The problems actually arise when people are not picky enough. When searching for a mate, people will often find themselves settling for someone they do not really want. Sure, the person might look great on the outside, but is that enough to sustain a lifetime? You have to be with someone you genuinely like. Physical attraction is also important, but the truth is, sexual habits tend to change after marriage. That brings me to the main point. Sex might change, but it’s about the only thing that does. Women in particular are often guilty of falling for a man, loving him, telling him how wonderful he is, but deep down hoping that he’ll change. I don’t mean little things like him leaving the toilet seat up (though that can be a hard habit to break). I’m talking about the big issues. One of the best (and I’m sorry to say most common) examples I can give is alcoholism. A woman falls in love with an alcoholic, goes out with him, parties with him, but suddenly expects it to stop after marriage. I hate to burst anyone’s bubble, but that is not how it works. Problems like that don’t go away after marriage. The truth is that they often get worse. The fault in all this, however, does not lie with the person being asked to change. Whatever bad habits he/she might have, the problems were always there. The person had them from the beginning, so why should he/she be forced to change? The answer is simple-he/she shouldn’t. People do not come with guarantee stickers or warranties. When you marry someone, it’s an AS IS transaction. There are always going to be problems in every marriage. Nobody is perfect: Keep this in mind when you are evaluating your relationship. Perfection (or the closest thing to it) comes with much time in a marriage. And it’s not a matter of either person changing; it’s a matter of getting used to the things about each other that bug you. And that’s not to say that these things won’t still bug you twenty five years down the road, but they won’t seem as important then. In a nutshell, if your relationship or your partner has problems that you don’t think you can live with, get out now. Marriage is hard enough without bringing unrealistic expectations into it (not to mention the disappointment and resentment that can occur when those expectations aren’t met). People don’t change just because they say I do and their partners shouldn’t expect them to. Marriage is about living with and loving the person you are with, not the person you hope they will become. If you are waiting for someone else to show up, then do that. and let the person you are with go.
